Series A Readiness

The Series A bar is repeatability, not just traction. Seed proved someone wants the product; the A proves you have found a scalable, predictable engine. This skill audits readiness across four dimensions and builds the data room.

The Four Pillars

1. Metrics

The A is a metrics conversation. Know your benchmarks for your model:

• SaaS: roughly 1-2M ARR, growing 3x+ year-over-year, net revenue retention

100%, payback < 18 months, gross margin > 70%.

• Consumer: strong retention curves that flatten (not decay to zero),

organic growth share, engagement depth.

• The exact thresholds move with the market; the principle is consistent

growth plus efficiency, not one stellar month.

2. Narrative

• A clear, contrarian insight (see fundraising-narrative).
• Evidence the wedge is working and the path to the next wedge.
• A category vision that justifies venture-scale returns.

3. Team

• Key leadership gaps identified and either filled or with a credible hiring

plan. Investors fund the team that scales the engine, not just the founders.

• Demonstrated ability to recruit above your weight.

4. Data Room

A clean, complete data room signals operational maturity and shortens diligence.

Data Room Checklist

• Financials: historical P&L, balance sheet, monthly model, the next

18-month forecast with assumptions.

• Metrics: cohort retention, CAC/LTV by channel and segment, pipeline,

the KPI dashboard.

• Cap table: current, fully diluted, with option pool.
• Customers: contracts, churn log, top-account concentration, references.
• Legal: incorporation, IP assignments, employee agreements, prior

financing docs.

• Team: org chart, key hires, comp bands.

Readiness Audit

Rate each pillar red / yellow / green with evidence. Be brutal — a process opened a quarter early, before metrics support the story, burns reputation with the exact investors you want.

Timing the Raise

• Raise from a position of strength: 6-9 months of runway and an up-and-to-the-

right trend, not from desperation.

• Build relationships with target funds 2-3 quarters before the raise so the

process opens warm.

Common Gaps

• Growth without efficiency (great top line, ugly payback).
• A single channel that has already saturated.
• Founder-dependent sales with no repeatable motion.
• A messy cap table or unsigned IP assignments surfacing in diligence.

Deliverable

Produce a readiness scorecard across the four pillars with red/yellow/green ratings and evidence, a prioritized 90-day gap-closing plan, and a complete data-room index with owners for each item.
